On July 21, 2010, President Obama signed the Dodd-Frank Act (the “Act”) into US Law. Executive compensation regulation is a central component to this legislation. As such, issues such as say on pay, clawbacks, and pay-for-performance are under increased scrutiny. This presentation outlines the various compensation elements found in the “Act” and provides clarification on how to address them.
